1. Acceptance of Terms

By accessing and using the services of BTSCOMET S.L. (hereinafter, "Intellico", "we", "the Company" or "the Service Provider"), you agree to be bound by these Terms and Conditions. If you do not accept these terms, you must not use our services.

These terms constitute a legally binding agreement between you (the "Client") and BTSCOMET S.L.

2. Description of Services

Intellico offers comprehensive consultancy services for SMEs and startups, including:

  • Strategic Services and Part-Time CXO
  • Human Resources and Talent Search
  • Digital Transformation and 360° Marketing
  • Organisation and Internal Processes
  • Financial Platform
  • Innovation and Development
  • Other business consultancy services

The specific description of each service is detailed in individual consultancy proposals.

3. Engagement Conditions

To engage Intellico's services:

  • The Client must complete the consultancy request form
  • Intellico will evaluate the request and determine project feasibility
  • A personalised proposal with budget and timeline will be prepared
  • The agreement will only be binding after signing an individual contract and paying the required deposits
  • The Client must provide accurate and complete information about their company

4. Fees and Payment Methods

Fees will be specified in the individualised consultancy proposal. Fees may vary depending on:

  • Type and complexity of the project
  • Duration of the service
  • Number of consultants required
  • Geographical scope of the project

Payment Methods:

  • Bank transfer
  • Direct debit
  • Credit/debit card
  • Instalment financing (by agreement)

Initial Deposit: An initial deposit of 30-50% is normally required to confirm the service booking. The balance will be paid according to the agreed schedule.

5. Cancellation Policy

Cancellation by Client:

  • If cancellation takes place before the project starts: 100% refund minus administrative expenses (10%)
  • If cancellation takes place during the project: no refund; invoicing for services rendered
  • Deposits paid are considered as payment for services rendered or committed

Cancellation by Intellico: Intellico may cancel the service if:

  • The Client fails to meet payment obligations
  • The Client provides false or misleading information
  • Circumstances arise that prevent execution of the service

In these cases, a proportional refund for services not rendered will be issued.

6. Client Obligations

The Client agrees to:

  • Provide accurate, complete and verifiable information
  • Make payments on the agreed dates
  • Provide access to necessary documentation and information
  • Designate a responsible point of contact for communications
  • Implement agreed recommendations on time
  • Maintain confidentiality of shared sensitive information
  • Comply with applicable laws and regulations

7. Intellico's Obligations

Intellico agrees to:

  • Provide quality professional services in accordance with industry standards
  • Assign consultants with appropriate experience and competence
  • Respect agreed timelines (subject to unforeseen circumstances)
  • Maintain confidentiality of Client information
  • Regularly communicate project progress
  • Deliver deliverables as agreed

8. Confidentiality

Both parties agree to keep confidential all sensitive, financial, operational or strategic information shared during the provision of services. This obligation will continue for 2 years after the completion of the project.

Exceptions: Confidentiality does not apply to:

  • Publicly available information
  • Information legally required to be disclosed
  • Information independently developed without access to Client confidential information

9. Intellectual Property

Works Prepared: Works, analyses, reports and recommendations prepared by Intellico under contract are Intellico's intellectual property, but the Client obtains a licence to use them internally.

Methodologies: Methodologies, processes and tools developed by Intellico remain Intellico's intellectual property and cannot be reproduced or sold without authorisation.

10. Limitation of Liability

Disclaimers: Consultancy services are provided "as is". Intellico:

  • Does not guarantee specific results or ROI
  • Is not responsible for Client business decisions based on recommendations
  • Is not responsible for external circumstances beyond its control
  • Is not responsible for incorrect information provided by the Client

Liability Limit: Intellico's total liability shall not exceed the amount paid for services in the 12-month period preceding the claim.

11. Warranties

Intellico warrants:

  • That assigned consultants have the necessary qualifications
  • That services will be provided professionally
  • That services will comply with applicable laws
  • Confidentiality of Client information

Exclusion of Other Warranties: Intellico does not offer warranties of:

  • Absence of errors or omissions
  • Specific results
  • Meeting particular expectations

12. Force Majeure

Intellico will not be responsible for failure to fulfil obligations due to force majeure circumstances including:

  • Natural disasters
  • War or terrorism
  • Pandemics or public health emergencies
  • Critical infrastructure failures
  • Changes in government laws or regulations

In such cases, reasonable deadlines will be extended or terms renegotiated.

13. Duration and Termination

Duration: The agreement is valid from signing until completion of services or termination according to these terms.

Termination: Either party may terminate the agreement:

  • For material breach not corrected within 15 business days after notification
  • By mutual written agreement
  • Due to insolvency or bankruptcy of the other party

14. Dispute Resolution

Negotiation: Any dispute will be resolved through direct negotiation between authorised representatives within 15 days.

Mediation: If negotiation fails, mediation with a neutral mediator will be sought.

Arbitration/Litigation: If mediation fails, the matter will be resolved by the competent courts in Spain in accordance with Spanish law.

15. Applicable Law

These Terms and Conditions are governed by the laws of Spain.

  • Law 3/1991 on Unfair Competition
  • Law 34/1988 on Advertising
  • Spanish Civil Code
  • Applicable commercial laws

16. Modification of Terms

Intellico reserves the right to modify these Terms and Conditions at any time. Changes will take effect 15 days after publication. Continued use of the service implies acceptance of the changes.

17. Entire Agreement

This agreement, together with the individual consultancy proposal and signed contract, constitutes the entire agreement between the parties. It supersedes all prior verbal or written agreements.

18. Severability

If any provision of these terms is found to be invalid, the remaining provisions will remain in force. A reasonable effort will be made to replace the invalid provision with a valid one that achieves the same effects.

19. No Waiver

Failure to exercise any right under these terms does not constitute a waiver of that right. Any waiver must be expressed in writing.
